The entry period for the “DC All Access Convention Correspondent Search” (“Contest"), sponsored by E.C. Publications, Inc. d/b/a DC Entertainment ( “Sponsor”), begins Tuesday, March 31, 2015 , at 10:00:00 a.m. Pacific Standard Time (“PT”) and ends at 11:59:59 p.m. PT on Friday, May 1, 2015 (the “Contest Period”). Sponsor’s computer will serve as the official time piece for the Contest. All federal, state and local laws and regulations apply.

THE PURPOSE OF THIS CONTEST IS TO SELECT EIGHT FINALISTS WHO WILL PARTICIPATE IN A DC ALL ACCESS COMPETITION FOR A CHANCE TO ATTEND THE 2015 COMIC-CON® INTERNATIONAL: SAN DIEGO AS A CORRESPONDENT. ONCE SELECTED, EACH OF THE EIGHT FINALISTS AND THE EVENTUAL CONTEST WINNER WILL BE REQUIRED TO ENTER INTO SEPARATE AGREEMENTS AND RELEASES CONCERNING THEIR CONTINUED PARTICIPATION IN THE DC ALL ACCESS COMPETITION. IF A FINALIST OR THE CONTEST WINNER FAILS TO EXECUTE THOSE AGREEMENTS AND RELEASES, THAT FINALIST OR THE CONTEST WINNER WILL BE DECLARED INELIGIBLE AND SPONSOR SHALL HAVE THE RIGHT, IN SPONSOR’S SOLE DISCRETION, TO SELECT ANOTHER CONTEST ENTRANT AS A FINALIST OR ANOTHER FINALIST AS THE CONTEST WINNER.

1. ELIGIBILITY:

The Contest is open to individuals who (a) are eighteen (18) years of age or the age of majority (whichever is older) on the date of entry and (b) are a legal resident of and physically residing in one of the 50 United States or the District of Columbia (excluding Puerto Rico, Guam, American Samoa, United States territories, possessions, and protectorates, foreign based United States military installations and wherever restricted or prohibited by law) or Canada (excluding Quebec) (“Entrant”).

EACH FINALIST MUST BE ABLE TO TRAVEL TO SAN DIEGO, CA ON JULY 8, 2015 AND REMAIN UNTIL JULY 12, 2015 (“Travel Period”) TO ATTEND THE 2015 COMIC-CON® INTERNATIONAL: SAN DIEGO (the “Show”). If any Finalist is not able to travel to San Diego, CA during the Travel Period, that Finalist will be declared ineligible and Sponsor shall have the right, in Sponsor’s sole discretion, to select another Entrant as a Finalist.

Neither Sponsor nor employees of Sponsor, DC All Access, Telepictures Productions Inc., DCComics.com, Time Warner, Warner Bros. Entertainment Inc., San Diego Comic Convention, the entity or entities supplying all or part of the Prize, and each of their respective partners, parent companies, divisions, subsidiaries, affiliates, advertising, promotion and public relations agencies and their respective officers, directors, employees, representatives and agencies (collectively, the "Contest Entities”) are eligible to participate in the Contest and/or win a Prize (as defined below). Additionally, immediate family members of such employees and persons living in the same household as such employees (whether related or not) are not eligible to win. For the purposes of this Contest, “immediate family members” is defined as spouse, domestic partner, mother, father, grandmother, grandfather, children, siblings and their spouses.

2. HOW TO ENTER: Online entry is the only method of entry for the Contest.

Entries received before and/or after the Contest Period will be void. All entries, excepting any video submitted as a part of an entry, become the sole property of Sponsor and will not be acknowledged or returned.

To Enter:

If the Entrant meets the eligibility criteria set forth above, then in order to enter, Entrant must go to the “DC All Access” website located at http://www.dccomics.com (“Webpage”) during the Contest Period and follow the steps below:

  1. Review the Contest details, submission instructions and criteria for the Contest.
  2. Create an original video clip of the Entrant, not to exceed five (5) minutes in length, describing why the Entrant would make the best DC All Access San Diego Comic-Con® correspondent (the “Video”). The content of the Video must be wholly original to Entrant (e.g., not contain any third party content including, without limitation, trademarks, logos, music or artwork), not violate or infringe any copyright, trademark, patent, trade secret, privacy or publicity right, or other proprietary or intellectual property right of any person or entity, and may not be defamatory, libelous, obscene, or otherwise illegal. No other person other than the Entrant may appear in the Video. Entrant cannot wear any clothing (including,without limitation, a hat) which includes a visible third party (i.e., non-DC Entertainment related) trademark or logo.
  3. Entrant must Tweet the Statement via Entrant’s Twitter account and include #DCAAGiveaway and this tinylink SUBJ2Rules@bit.ly/1BshV1A in the Entrant’s Tweet. Inclusion of the tinylink will serve as as acknowledgment of Entrant’s acceptance of these Official Rules.

Those Entrants who do not include #DCAAGiveaway and “SUBJ2@bit.ly/1BshV1A” in their Tweet will be disqualified.

Entries generated by a script, macro or other automated means will be disqualified. Illegible or incomplete entries, as determined by the Sponsor in its sole discretion, will be disqualified. Sponsor will not deem proof of submission of an entry as proof of receipt of an entry.

Entrant’s entry must be received by Sponsor between 10:00:00 a.m. PT on Monday, March 31, 2015 and 11:59:59 p.m. PT on Friday, May 1, 2015.

A qualifying entry requires all of the following elements submitted via Twitter:

  1. The Video.
  2. Acknowledgment that Entrant has read and accepted these Official Rules by including in their entry Tweet: SUBJ2Rules@bit.ly/1BshV1A.
  3. #DCAAGivaway in the post

Entrants may submit multiple Video entries during the Contest Period.

By submitting any entry into the Contest, whether complete or not and whether eligible or not, each Entrant represents and warrants to Sponsor and the Sponsor Entities that the entry (including, without limitation, the Statement): (a) is the entrant’s original creation; (b) has not copied, in whole or in part, any other work; (c) does not violate or infringe any copyright, trademark, patent, trade secret, privacy or publicity right, or other proprietary or intellectual property right of any person or entity; (d) is not defamatory, libelous, obscene, or otherwise illegal; and (e) is the sole and exclusive property of the entrant, and is not subject to any third-party rights. Submission of false or misleading personal information (including the Statement) or copied, plagiarized, offensive or otherwise inappropriate Statements (as determined by Sponsor in its sole discretion) will be grounds for disqualification of entry.

Entrant must comply with Twitter Terms of Service at https://twitter.com/tos.
Videos may be featured on episodes of DC All Access (“Series”) or its website and may be distributed and exploited in and in connection with the promotion of the Series pursuant to Paragraph 10 below.

3. FINALIST SELECTION PROCESS:

Two (2) Entrants whose Videos have the highest number of re-Tweets by the conclusion of the Contest Period (as determined by Sponsor in its sold judgment) will be selected as Finalists, subject to the Videos complying with the eligibility and content requirements described above as determined by Sponsor at its sole discretion. Entries and re-Tweets generated by a script, macro or other automated means (determined by Sponsor at its reasonable discretion), will be disqualified.

Six (6) to eight (8) additional Finalists will be chosen as follows: At the conclusion of the Contest Period, a panel of judges selected by Sponsor in Sponsor’s sole discretion will view all other eligible Video submissions and score the Videos based on the following criteria: 33.3% on creativity, 33.3% on originality, and 33.3% on appropriateness to the theme of the Contest (i.e., why they would make the best DC All Access San Diego Comic-Con® correspondent). The six (6) highest scoring Videos will be determined by the judges on or about May 2, 2015. In the event of a tie, the potential finalist will be the Entrant whose Video has a higher score in the creativity category. If there is still a tie, then the Entrant whose Video received a higher score in the originality category will be selected as a finalist.

The Entrants selected as the final eight (8) to ten (10) finalists are referenced collectively hereinafter as the “Finalists”.

If a potential Finalist is found ineligible or fails to comply with these Official Rules, such Entrant’s claim to the Finalist spot is forfeited and an alternate qualifying and eligible Entrant may be selected as a Finalist, at Sponsor’s sole discretion.

4. FINALIST NOTIFICATION PROCESS:

Potential Finalists will be notified by Sponsor via direct message through Twitter. If a potential Finalist does not respond or elects to not participate further and/or fails to return all required documentation and signatures within forty-eight (48) hours following the date the potential Finalist is direct messaged by Sponsor, then that potential Finalist will be disqualified and an alternate Finalist will be selected at Sponsor’s sole discretion.

The Sponsor will require each potential Finalist to execute a Non-Disclosure Agreement and a Contestant Appearance Authorization and Release (collectively, “NDA/Release”).

Finalists will be required to review, sign and return the NDA/Release within 48 hours after being contacted by Sponsor, as described above, or they will be disqualified. Refusal to return an executed NDA/Release within 48 hours or if Sponsor’s email containing the NDA/Release is returned as undeliverable will result in disqualification and an alternate Finalist will be selected at Sponsor’s sole discretion.

5. FINALISTS COMPETITION: The Finalists will be required to compete in each of seven (7) weekly video submission competitions commencing May 7, 2015 and concluding July 3, 2015 (each a “Challenge”; collectively, the “Competition”). Each Challenge will consist of instructions or themes for an original video submission to be created by each eligible Finalist (each, a “Challenge Video”), and submitted to Sponsor per the Challenge instructions, before a specified deadline. The details of each Challenge will be determined by Sponsor at its sole discretion. Sponsor will email the applicable Challenge to all eligible Finalists at the same time, thus every eligible Finalist will have the same amount of time to complete the Challenge.

The content of each Challenge Video must be wholly original to Finalist (e.g., not contain any third party content including, without limitation, trademarks, logos, music or artwork), not violate or infringe any copyright, trademark, patent, trade secret, privacy or publicity right, or other proprietary or intellectual property right of any person or entity, and may not be defamatory, libelous, obscene, or otherwise illegal. No other person other than the Finalist may appear in the Video unless otherwise authorized by the applicable Challenge rules/requirements. If any Challenge permits or requires third parties to appear in a Challenge Video, Finalist shall secure from each of those parties at the time the Challenge Video is created an executed Appearance Release provided to Finalist by Sponsor.. Neither Finalist nor any third party appearing in a Challenge Video can wear any clothing (including, without limitation, a hat) which includes a visible third party trademark or logo.

By submitting any Challenge Video, whether complete or not and whether eligible or not, each Finalist represents and warrants to Sponsor and the Sponsor Entities that the Challenge Video: (a) is the entrant’s original creation; (b) has not copied, in whole or in part, any other work; (c) does not violate or infringe any copyright, trademark, patent, trade secret, privacy or publicity right, or other proprietary or intellectual property right of any person or entity; (d) is not defamatory, libelous, obscene, or otherwise illegal; and (e) is the sole and exclusive property of the entrant, and is not subject to any third-party rights. Submission of any copied, plagiarized, offensive or otherwise inappropriate Challenge Video (as determined by Sponsor in its sole discretion) will be grounds for disqualification of entry.

After the applicable deadline for the Challenge, Sponsor will review and vote on all eligible video submissions based on the following criteria: 33.3% on creativity, 33.3% on originality, and 33.3% on appropriateness to the theme of the Challenge. One (1) or more Finalists with the lowest scoring video submission for the applicable Challenge will be eliminated from the Competition, unless another Finalist is disqualified for non-compliance with the applicable Challenge requirements or for any other reason as determined by Sponsor at its sole discretion (e.g, fails to submit a video by the deadline, content of video violates Challenge rules, etc.). In the event of a tie, the Finalist whose Challenge Video received a lower score in the creativity category will be eliminated. If there is still a tie, then the Finalist whose Challenge Video received a lower score in the originality category will be eliminated.

The tentative dates for when Challenges will be assigned to Finalists and the announcement of the eliminated Finalist for the respective Challenge is as follows (subject to change at Sponsor’s sole discretion):

First Challenge given May 13, 2015, first elimination is May 19, 2015
Second Challenge given May 20 2015, second elimination is May 26, 2015
Third Challenge given May 27, 2015, third elimination is June 2, 2015
Fourth Challenge given June 3, 2015 fourth elimination is June 9, 2015
Fifth Challenge given June 10, 2015, fifth elimination is June 16, 2015
Sixth Challenge given June 17, 2015, sixth elimination is June 23, 2015
Seventh Challenge given June 24, 2015, seventh elimination is July 7, 2015

The Finalist remaining after the seventh elimination shall be the Prize Winner.

Challenge Videos submissions from the Challenge may be featured on episodes of DC All Access (“Series”) or its website and may be distributed and exploited in and in connection with the promotion of the Series pursuant to Paragraph 10 below.

6. PRIZE:

The Prize Winner will receive the following:

A trip for two (2) to San Diego, CA to attend the 2015 Comic-Con® International: San Diego, including roundtrip coach airfare for Prize Winner and Prize Winner’s guest on an airline selected by Sponsor in its sole discretion (if the Prize winner resides 150 miles or less from San Diego, CA, ground transportation will be substituted and the Prize winner will not receive the difference in price), four (4) nights double-occupancy hotel accommodations in San Diego, CA at a Sponsor selected hotel, ground transportation to/from the airport to hotel (at Sponsor’s sole discretion), a $100 per diem, and two (2) passes to Comic-Con® International: San Diego taking place July 8, 2015 through July 12, 2015(“Prize”). Departure flight must leave from a major airport nearest the Prize winner’s city of residence (as determined by Sponsor in its sole discretion). Sponsor will select, in its sole discretion, dates during the Travel Period on which Prize winner must travel to and return from San Diego (the “Selected Travel Dates”).

Approximate retail value (“ARV”): $4,750.00

Prizes may be collectively referred to hereunder as “Prize”. If a potential winner is not available for travel on the Selected Travel Dates then he or she will forfeit the Prize. Travel arrangements will be made by Sponsor. Prize Winner and his/her travel companion must travel together on the same itinerary, including the same departure date, destination, and return date. Failure to do so will result in forfeiture of the Prize. Failure to secure the necessary travel documents will result in forfeiture of the Prize and Sponsor may, in its sole discretion, select an alternate Prize Winner. Insurance is the sole responsibility of each Prize winner and each Prize winner’s travel companion. Prize Winner’s travel companion must be at least eighteen (18) years old on the date of departure. Prize Winner’s travel companion must execute a release and return said release to Sponsor within forty-eight (48) hours of receipt. If Prize Winner’s travel companion fails to execute and return said release, Prize Winner’s travel companion shall not be allowed to accompany Prize Winner and Prize Winner shall not be awarded the value of the travel companion’s portion of the Prize.

Sponsor will not replace any lost or stolen tickets, vouchers, or certificates. In the event of such a loss, Sponsor shall have the right, in Sponsor’s sole discretion, to disqualify the Prize Winner or to award to that Prize Winner the remaining elements of the Prize which shall constitute full satisfaction of Sponsor’s prize obligation to the Prize winner and no additional compensation will be awarded.

Once airfare reservations are made they cannot be amended unless required by Sponsor. Once issued, tickets are non-transferable and may not be reissued. Open tickets may not be issued and stopovers are not permitted. Travel may not be combined with any other offer and may not qualify for frequent flyer miles or hotel points. All travel will be at the risk of the winner. In the event of an act of God or an unforeseen, uncontrollable event, Sponsor reserves the right to reschedule all travel for a later date within or outside of the Travel Period or to cancel any remaining elements of the Prize. All expenses not specifically mentioned herein are not included in any prize and are solely the winner’s responsibility including, without limitation, meals, room service and souvenirs. Sponsor is not responsible for lost, damaged, destroyed or misplaced luggage. The ARV of the travel portion of a Prize may vary depending upon the point of departure and fare fluctuations. Each Prize is subject to black-out dates and other travel restrictions. If a Prize winner elects to travel without a travel companion, no additional compensation will be awarded to that Prize winner.

If the Prize Winner and/or the Prize Winner’s travel companion engage in disruptive behavior while they are in San Diego, Sponsor shall have the right, in Sponsor’s sole discretion, to revoke the passes to Comic-Con® International: San Diego. In that event, the Prize Winner will forfeit any unused portion of the Prize.

All Finalists and the Prize Winner will be required to review and execute further contracts and releases provided by Sponsor in order to receive the Prize.

7. ADDITIONAL PRIZE INFORMATION:

There is no substitution for any Prize or any portion thereof. The Prize is not transferable, assignable or redeemable for cash. All Prize details are at Sponsor’s sole discretion.

Prize Winner is solely responsible for the reporting and payment of any and all federal, state and local taxes as well as any other costs and expenses associated with acceptance and use of the Prize not specified herein as being awarded. Prize winner may be issued an IRS form 1099 based on the ARV the Prize.

The value of each Prize set forth above represents Sponsor’s good faith determination of the ARV thereof and cannot be challenged or appealed. The Prize consists of only those items specifically listed above as part of the Prize.

8. PRIZEWINNER NOTIFICATION PROCESS:

The Prize Winner will be notified by Sponsor via phone and/or email. If the Prize Winner does not accept the Prize and/or fails to return all required documentation and signatures within seventy-two (72) hours following the date the Prize Winner is notified by Sponsor, then that Prize Winner will be disqualified and the last eliminated Finalist will be selected as Prize Winner.

The Sponsor will require a tentative Prize Winner to execute a Certificate of Eligibility, Liability Release and Publicity Release (if a U.S. resident) or a Declaration of Compliance (if a Canadian resident) (collectively, “Certificate/Release”).

Refusal or return of any notifications, Affidavit/Release or Prize as undeliverable will result in disqualification and the last eliminated Finalist will be selected as Prize winner.

9. PRIVACY STATEMENT:

Entrants’ personal information will be utilized by the Sponsor for fulfillment of the Prize and to comply with legal requirements. By entering this Contest, Entrants accept and agree to abide by these privacy policies and terms of use.

10. OWNERSHIP AND LICENSE:

All Contest related materials, including submission entries (“Submission”) become the property of the Sponsor and will not be acknowledged or returned. The copyright in any Submission shall remain the property of the Entrant, but by submitting and/or uploading a Video or Challenge Video: (i) you grant DC Entertainment, Warner Bros. Entertainment Inc. and each of its parent, subsidiaries, licensees, successors and assigns ("WB Parties"), the non-exclusive, perpetual, royalty-free, no-cost license and right to use and otherwise exploit the Video and/or Challenge Video and all images, text and content included or depicted therein, in whole or in part, in any manner or medium now or hereafter known or devised or discovered (including, without limitation, DVDs, streaming media, film, television, print, interactive devices, mobile media, Internet and on-line systems), throughout the universe and in any and all languages. The WB Parties will have the right to use the Video, Challenge Video and all images depicted therein (if any), in any merchandising, advertising, marketing, promotion or for any other commercial or non-commercial purpose; (ii) additionally, Entrants waive and relinquish all so-called "moral rights” (droit moral) now or hereafter recognized in connection with the Video and Challenge Video; and (iii) Entrants acknowledge that they will not receive any compensation, including without limitation, licensing fees, royalties, payments, or any other form of consideration from any WB Parties for its use of the Video and Challenge Video.

Any use of any of the Contest Entities trademarks or copyright interest is strictly prohibited and may subject Entrant to civil and/or criminal liability.

11. PUBLICITY GRANT:

Except where prohibited by law or Sponsor’s Privacy Policy the Prize Winner shall be required to grant Sponsor and the Contest Entities the perpetual and irrevocable right and license to use his/her name, photograph, visual and audio likeness, Videos, Challenge Videos, biographical information, address (including city and state of residence) and any other information contained in his/her entry on a worldwide basis, and in all forms of media now known or hereafter invented or discovered (including, without limitation, on the Sponsors’ web sites), in perpetuity, without further compensation, notice, review or approval.

12. NO WARRANTIES:

ALL PRIZES ARE PROVIDED “AS IS” AND “WITH ALL FAULTS.” CONTEST ENTITIES MAKE NO WARRANTIES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, RELATIVE TO THE USE OR ENJOYMENT OF ANY PRIZE, OR ANY PORTION THEREOF, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. ANY AND ALL WARRANTIES FOR A PRIZE, OR ANY PORTION THEREOF, ARE CONTAINED IN THE MANUFACTURERS’ OR SERVICE PROVIDERS’ WARRANTIES, AS RELEVANT.

All trademarks utilized as part of the Contest or the Prize are the property of their respective owners. The use of certain companies’ products and services as prizes does not imply participation in, approval of, or endorsement of this Contest by such companies.

13. RELEASE, HOLD HARMLESS AND INDEMNIFICATION:

BY ENTERING, ALL ENTRANTS IN THE CONTEST, ENTRANT’S HEIRS, EXECUTORS, ADMINISTRATORS, LEGAL SUCCESSORS AND/OR ASSIGNS RELEASE AND AGREE TO DEFEND, INDEMNIFY AND HOLD HARMLESS THE SPONSOR AND ALL CONTEST ENTITIES FROM AND AGAINST ANY AND ALL CLAIMS, DEMANDS, LOSSES AND CAUSES OF ACTION FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, ALL CONSEQUENTIAL, PUNITIVE, AND INCIDENTAL DAMAGES), LIABILITY, LOSS, COST, FEES (INCLUDING ATTORNEYS’ FEES), INCLUDING, WITHOUT LIMITATION, DAMAGE TO PERSON (INCLUDING DEATH) OR PERSONAL OR REAL PROPERTY, DUE IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, BY REASON OF (I) ENTRANT’S PARTICIPATION IN ANY CHALLENGE, (II) THE ACCEPTANCE, POSSESSION, REDEMPTION, MISDIRECTION, USE OR MISUSE OF ANY PRIZE OR ANY PORTION OF ANY PRIZE (INCLUDING ANY ACTIVITY OR TRAVEL RELATED THERETO), (III) PARTICIPATION IN THE CONTEST AND THE CONTEST’S ACTIVITIES OR, (IV) FOR ANY AND ALL CLAIMS BASED ON RIGHTS OF PUBLICITY AND RIGHTS OF PRIVACY WHETHER ANY OF THESE THINGS ARE CAUSED, IN WHOLE OR IN PART, BY THE ACTS, OMISSIONS, NEGLIGENCE OR MISCONDUCT OF THE SPONSOR AND/OR THE CONTEST ENTITIES.

ADDITIONALLY, THE CHALLENGES MAY CONSIST OF FEATS OR DEEDS (“ACTIVITIES”) THAT MAY INVOLVE A RISK OF DAMAGE, INJURY, DEATH, EMBARRASSMENT OR DANGER. ENTRANT MAY, AT HIS/HER SOLE ELECTION, PARTICIPATE IN SUCH ACTIVITIES, IT BEING UNDERSTOOD THAT ENTRANT IS NOT REQUIRED OR EXPECTED TO PARTICIPATE IN ANY ACTIVITIES THAT IN THEIR JUDGMENT INVOLVES ANY SUCH RISKS. ENTRANT HEREBY REPRESENT AND WARRANT THAT HE/SHE UNDERSTANDS THE NATURE OF THE ACTIVITIES; ENTRANT IS QUALIFIED TO PARTICIPATE IN THE ACTIVITIES; ENTRANT DOES NOT HAVE ANY TYPE OF PHYSICAL OR MEDICAL CONDITION THAT MIGHT PRECLUDE HIM/HER FROM PARTICIPATING IN THE ACTIVITIES; IF ENTRANT VOLUNTARILY DECIDE TO PARTICIPATE IN SUCH ACTIVITIES, IT IS AT HIS/HER SOLE AND EXCLUSIVE ELECTION; AND ANY INJURIES ALLEGEDLY CAUSED BY ENTRANT’S PARTICIPATION IN THE ACTIVITIES ARE HEREBY SPECIFICALLY INCLUDED WITHIN THE MATTERS RELEASED ABOVE.

14. DISCLAIMERS / LIMITATIONS ON LIABILITY:

BY ENTERING, ALL ENTRANTS IN THE CONTEST AGREE THAT THE CONTEST ENTITIES ASSUME NO LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE USE, ACCEPTANCE, POSSESSION OR AWARDING OF ANY PRIZE OR WHILE PREPARING FOR, PARTICIPATING IN AND/OR TRAVELING TO OR FROM ANY CONTEST-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS OR ACCIDENT TO PERSON OR PROPERTY DUE TO AN INTENTIONAL ACT, AN ACT OF NEGLIGENCE OR DEFAULT AND/OR ANY ACT OF GOD.

By entering the Contest, Entrants agree to waive any right to claim ambiguity with the Official Rules.

The Contest Entities are not responsible for human errors or for any damaged, tampered with, delayed, illegible, incomplete, inaccurate, garbled, late, lost, forged, misaddressed, misdirected, mutilated, mass machine-generated, unintelligible, incomprehensible, postage-due or stolen mail or entries or entries otherwise not in compliance with these Official Rules. In addition, Contest Entities are not responsible for any typographical errors in these Official Rules, Contest content or any advertising materials for the Contest, or for any kind of computer, electronic, hardware, software, Internet, network, technical or telephone failures and/or problems caused by the Sponsor and/or the Contest Entities or the user, or by any of the equipment or programming associated with or utilized in the Contest, or by any human, typographical, electronic, network or other error that may occur in receiving and/or processing of the entries in the Contest, or by infection by computer viruses, bugs, tampering, unauthorized intervention, fraud or technical failure.

If the Contest becomes compromised, hampered, interrupted, not capable of running as planned, rendered impossible of performance in any way or prevented, including, without limitation, because of any kind of computer viruses, bugs, electronic, hardware, software, Internet, network, technical or telephone failures, tampering, unauthorized intervention, fraud, an event of force majeure or any other cause created by Sponsor and/or the Contest Entities, the user or by any of the equipment or programming associated with or utilized in the Contest, Sponsor reserves the right, at its sole discretion, to change the Official Rules, to cancel, modify, suspend or withdraw the Contest or any Contest offer and/or cancel, modify, suspend or withdraw any method of entry, without notice, and select Finalists from all entries received for the Contest prior to or after the cancellation, modification, suspension or withdrawal. As used herein, an event of force majeure shall be deemed to include, without limitation, an act of God; an act of terrorism, war, riot or civil commotion, fire, casualties, equipment failure, boycott; labor dispute, strike or stoppage (including a strike by the members of any union), labor or material shortage, transportation interruption of any kind, an act, regulation, order or request of or by any federal, state or local authority or quasi-governmental entity (whether or not the act, regulation, order or request proves to be invalid); or any other similar or dissimilar act beyond the Sponsor’s control.

15. GENERAL CONDITIONS OF ENTRY:

All Entrants, as a condition of entry, agree that they have not purchased any kind of Internet service whatsoever in order to participate in and/or enter the Contest. Entrants agree not to knowingly damage or cause interruption of the Contest and/or prevent others from utilizing the Contest. CAUTION: ANY ATTEMPT TO DAMAGE ANY ONLINE OR CELLULAR SERVICE OR WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST OR CAMPAIGN VIOLATES CRIMINAL AND/OR CIVIL LAWS.

IF SUCH AN ATTEMPT IS MADE, SPONSOR AND/OR CONTEST ADMINISTERING AGENCY MAY, AT THEIR SOLE AND REASONABLE DISCRETION, DISQUALIFY ANY AND ALL ENTRANTS MAKING SUCH ATTEMPT AND SPONSOR MAY SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) TO THE FULLEST EXTENT PERMITTED BY LAW, INCLUDING CRIMINAL PROSECUTION.

16. GOVERNING LAW AND VENUE:

The parties agree that the Contest and these Official Rules will be governed, construed and interpreted under the laws of the State of California without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction) which would cause the application of the laws of any jurisdiction other than the State of California. Each Entrant agrees (i) that any or all lawsuits brought by Entrants pursuant to these Official Rules or the Contest will be brought in the courts located in Los Angeles, California and (ii) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action. Entrants hereby waive any and all objections to personal jurisdiction. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred including, without limitation, costs associated with entering this Contest but in no event attorneys’ fees. Under no circumstances will Entrants be permitted to obtain awards for, and hereby waive all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.
